IMPORTANT — PLEASE CAREFULLY READ THESE TERMS OF USE (“TERMS”) BEFORE USING ANY OF OUR SITES (DEFINED BELOW), AS THEY GOVERN YOUR USE OF THE SITES AND AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

These Terms apply to the websites that post these Terms, including any features, applications, widgets or online services that link to these Terms, whether accessed via computer, mobile device or otherwise (collectively, “Sites”). The Sites are owned or controlled by Knowledge Transfer Network Ltd (trading as Innovate UK Business Connect) (company number 8705643), referred to in these Terms as “IDAIC”. The registered office of Innovate UK Business Connect is at KTN, Unit 218, Business Design Centre, Upper Street, Islington, London N1 0QH. These Terms do not apply to any other website or to any offline activities of IDAIC (unless specifically stated). You agree to these Terms by accessing or using any of the Sites. IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THESE TERMS, DO NOT USE ANY SITE.

In some instances, both these Terms and a separate terms of service or guidelines document setting forth additional conditions may apply to a service or product offered via the Sites (“Additional Terms”). To the extent there is a conflict between these Terms and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state otherwise.

 

ABOUT IDAIC

The Industrial Decarbonisation AI Coalition (IDAIC) is an independent coalition of organisations committed to accelerating industrial decarbonisation through the responsible application of artificial intelligence and machine learning. IDAIC is operated by Innovate UK Business Connect, part of UK Research and Innovation (UKRI). IDAIC produces original research, analysis and editorial content across its digital platforms, and convenes members, partners and policymakers to drive measurable progress on industrial emissions reduction.

 

OWNERSHIP OF SITE MATERIALS

Unless otherwise explicitly specified, all materials included in or otherwise forming part of the Sites (including past, present and future versions), including without limitation: graphics; layout; text; instructions; images; audio; videos; designs; technology; applications; widgets; artwork; information; data; compilations; logos; domain names; IDAIC logos, trademarks and service marks; trade identities of IDAIC or its affiliated organisations (the “IDAIC Marks”); all copyrightable material (including source and object code); the “look and feel” of the Sites; and all other materials related to the Sites (collectively, the “Materials”) are owned, controlled or licensed by IDAIC or its affiliates and are protected by copyright, trademark, patent and other laws, rules, regulations and international treaties.

Except as expressly set forth in these Terms or otherwise expressly granted in writing by IDAIC, no rights (either by implication or otherwise) are granted to you. All rights to use any Materials not expressly granted under these Terms are reserved for IDAIC and its affiliates or licensors.

You acknowledge and agree that you will not, directly or indirectly, contest or challenge the validity or ownership of the Materials, or take any action in derogation of IDAIC’s rights therein.

The Materials may not be copied, reproduced, downloaded or distributed in any way, in whole or in part, without the prior written authorisation of IDAIC, unless expressly provided for in these Terms. To seek authorisation for reproduction of Materials, please contact us at info@idaic.org.

 

YOUR LICENCE TO USE MATERIALS AVAILABLE ON OUR SITES

You may visit our Sites without further permission and IDAIC grants you a limited, personal, non-exclusive, non-commercial, revocable and non-transferable licence to use, download (where available), view and play the Materials. This licence is subject to your full compliance with these Terms. When you download or use Materials, you agree to: (a) keep intact all copyright and other proprietary notices; (b) keep intact all notices and disclosures within the Materials that clarify the funding of the Materials and/or the Sites; (c) make no modifications to the Materials; and (d) not allow or assist any third party to copy, adapt or reverse engineer any code associated with the Sites.

Nothing in these Terms grants you any right or licence to sublicence, redistribute, rent, sell, lease, loan, transfer, assign, broadcast, upload, sublicence, distribute or allow access to the Materials. You agree that you will not charge any person or entity to view, listen to, play or otherwise access any Materials.

 

REPORTING COPYRIGHT AND OTHER INTELLECTUAL PROPERTY VIOLATIONS

You may not use the Sites for any purpose or in any manner that infringes the rights of any third party. IDAIC encourages you to report any content on the Sites that you believe infringes your rights. Only the intellectual property rights owner, or a person authorised to act on behalf of the owner, can report potentially infringing content.

If you have a good-faith belief that content on the Sites infringes your copyright, trademark or other intellectual property rights, please notify IDAIC in writing with: (a) a physical or electronic signature of a person authorised to act on behalf of the rights owner; (b) identification of the work claimed to have been infringed; (c) identification of the material claimed to be infringing, with information sufficient to permit us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorised by the rights owner, its agent or the law; and (f) a statement that the information in the notification is accurate and that you are authorised to act on behalf of the rights owner.

We have a policy of terminating the accounts of users who (in our reasonable discretion) are repeat infringers. We reserve the right to request additional information before removing any allegedly infringing material and to remove content pending resolution of any dispute.

 

INFORMATION AND CONTENT YOU SUBMIT

The Sites may allow you to contact IDAIC, submit feedback, or participate in community features such as message boards, comment areas or other public areas (“Community Forums”). Where available, you may submit, post, transmit or otherwise provide content to IDAIC or a Site, including comments, ideas, suggestions and other material (collectively, “User Content”).

Except as described in the Privacy Policy or any applicable Additional Terms, you acknowledge that Community Forums are public and that your User Content will be treated as non-confidential and non-proprietary and will not be returned.

You remain the owner of your User Content, but by submitting it you grant IDAIC an unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual and royalty-free right and licence to host, use, copy, distribute, reproduce, disclose, sell, sublicence, display, perform, transmit, publish, broadcast, modify, translate, archive, store, cache or otherwise exploit in any manner whatsoever, all or any portion of your User Content for any purpose, in all formats, on or through any media or technology now known or later developed.

You agree that you either own the rights to the content you submit and have the right to grant the licences set out in these Terms, or that you have all necessary rights and licences from the owner to do so. All User Content is your sole responsibility; IDAIC will not be liable for any User Content or for any loss or damage arising from it.

IDAIC may, in its sole discretion, delete, move, reformat, edit, alter, remove or refuse to exploit any User Content at any time without notice or liability.

 

VIRAL DISTRIBUTION AND WIDGETS

IDAIC may allow you, through express written permission, to share Materials with others or to embed content from the Sites on third-party websites using embed code provided by IDAIC (“Widgets”). Widgets are Materials and subject to the limited, revocable licence described above. IDAIC may discontinue services necessary for Widgets to operate or may disable embedded Widgets at any time without liability. Our permission for you to use Widgets does not provide any intellectual property rights in or to the Widget or any Materials made available via it.

You agree not to use Widgets to display content other than that provided or intended by IDAIC, and not to circumvent any security or rights management features in any Widget.

 

ACCEPTABLE USE POLICY AND COMMUNITY USAGE RULES

When you contribute, upload or otherwise provide User Content to a Site, you agree to comply with the following rules:

  • All submitted content must be original with you, or you must have full rights to submit it.
  • You must not upload third-party materials, visible logos, phrases or trademarks without authorisation.
  • You must not upload music unless you own or hold all rights to the work and performance.
  • You must not post content that is threatening, abusive, harassing, hateful, defamatory, slanderous or pornographic, or that is derogatory in connection with race, national origin, sexual orientation or physical characteristics.
  • You must not use the Sites for commercial promotion or to raise funds without authorisation.
  • You must not upload illegal content or content promoting violence.
  • You must not impersonate any other person, user or company, or post content you know to be false or misleading.
  • You must not post personal information belonging to yourself or any other person in public areas of the Sites.
  • You must not upload files containing viruses or malicious code.
  • You must not interfere with the Sites or any IDAIC servers or networks, or violate any applicable local, national or international law or regulation.

 

REGISTRATION

Certain areas of the Sites may require registration or may ask you to provide information in order to receive newsletters, access certain Materials or participate in certain features. The decision to provide this information is optional; however, if you elect not to do so, you may not be able to access certain Materials or participate in certain features. When you provide information to a Site, you agree to provide only true, accurate, current and complete information.

 

YOUR WARRANTIES

You represent and warrant that: (i) you have the legal right and capacity to enter into these Terms in your jurisdiction and to comply with them or, if you are a minor, your parent or legal guardian has approved your participation on this Site and has agreed to these Terms on your behalf; and (ii) you hold and will continue to hold all rights necessary to perform your obligations under these Terms.

You agree to be responsible for obtaining and maintaining all hardware, software and other equipment needed to access and use the Sites, and to comply with all rules, laws and regulations applicable to your use.

 

USER INTERACTIONS AND DISPUTES

You are solely responsible for your interactions with other users of the Sites, whether online or offline. IDAIC is not responsible or liable for the conduct of any user. IDAIC reserves the right, but has no obligation, to monitor or become involved in disputes between users.

 

PROMOTIONS

The Sites may contain or offer sweepstakes or other promotions governed by separate rules that describe the sweepstakes or promotion and may include eligibility requirements. It is your responsibility to read those rules to determine whether your participation, registration or entry will be valid.

 

THIRD PARTY LINKS, CONTENT AND APPLICATIONS

The Sites may contain links to third-party websites or online features, and may include third-party content that IDAIC does not control, maintain or endorse. You expressly acknowledge and agree that IDAIC is in no way responsible or liable for any third-party sites or online features. Your correspondence and dealings with third parties found through the Sites are solely between you and the relevant third party.

 

LINKING POLICY

IDAIC grants you the revocable permission to link to the Sites, provided that your website: (a) does not frame or create a browser or border environment around any content on the Sites or otherwise mirror any part of the Sites; (b) does not imply that IDAIC endorses or sponsors it or its products unless IDAIC has given prior written consent; (c) does not present false information about, or disparage, tarnish or otherwise harm IDAIC or its products or services; (d) does not use any IDAIC trademarks without prior written permission; (e) does not contain content that could reasonably be construed as distasteful, offensive or controversial (in IDAIC’s sole opinion); and (f) is owned and controlled by you or by a person or entity that permits you to enable such a link subject to these Terms.

IDAIC reserves the right to prohibit linking to the Sites for any reason at its sole and absolute discretion.

 

SOFTWARE AND OTHER ITEMS AVAILABLE FOR DOWNLOAD

Any items made available for download or use from the Sites (the “Downloadable Items”) are the copyrighted work of IDAIC or its licensors or suppliers. Their use may be governed by Additional Terms included with such items. Copying or reproducing Downloadable Items to any other server or location for further reproduction or distribution is expressly prohibited unless expressly permitted by applicable Additional Terms.

 

DISCLAIMER OF WARRANTIES

To the extent permitted by applicable law, the Sites, including the Materials, are provided on an “as is”, “as available” and “with all faults” basis. To the fullest extent permissible by law, neither IDAIC nor any of its officers, employees, directors, agents, vendors or contractors (collectively, “IDAIC Parties”) make any representations or warranties of any kind, express or implied, as to: (a) the Sites; (b) the Materials; (c) any Widgets or Downloadable Items; (d) User Content; (e) the functions made accessible on or through the Sites; (f) any products, services or instructions offered or referenced on the Sites; or (g) security associated with the transmission of information to or from IDAIC or via the Sites. The IDAIC Parties disclaim all warranties, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, non-infringement, title and freedom from computer virus.

The IDAIC Parties do not represent or warrant that the Sites will be error-free or uninterrupted; that defects will be corrected; or that the Sites or the servers that make them available are free from harmful components including viruses or other malware. Your use of any Site is at your sole risk.

 

DISCLAIMERS AND LIMITATION OF LIABILITY

To the extent permitted by applicable law, under no circumstances will the IDAIC Parties be liable to you for any loss or damages of any kind, including without limitation any direct, indirect, economic, exemplary, special, punitive, incidental or consequential losses or damages that are directly or indirectly related to: (a) the Sites; (b) the Materials; (c) any Widgets or Downloadable Items; (d) User Content; (e) your use of, inability to use, or the performance of the Sites; (f) any action taken in connection with an investigation by the IDAIC Parties or law enforcement authorities regarding your use of the Sites; (g) any action taken in connection with copyright or other intellectual property; (h) any errors or omissions in a Site’s technical operation; or (i) any damage to any user’s computer, hardware, software, mobile device or other technology.

In no event will the IDAIC Parties’ total liability to you for all damages, losses or causes of action exceed ten pounds sterling (£10.00) (or the equivalent in your local currency).

 

INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend (if requested by IDAIC) and hold the IDAIC Parties harmless from and against any and all claims, damages, costs, investigations, liabilities, judgments, settlements and expenses, including legal fees, that directly or indirectly arise from or relate to: (a) your User Content; (b) your use of any Site; (c) your breach or anticipatory breach of these Terms; (d) your violation of any applicable laws, rules or regulations; (e) information or material transmitted through your device that infringes or misappropriates any intellectual property right or defames any person; (f) any misrepresentation made by you; or (g) the IDAIC Parties’ use of your information. You will cooperate as required by the IDAIC Parties in the defence of any claim. The IDAIC Parties reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you will not settle any such claim without the prior written consent of a duly authorised officer of IDAIC.

 

TERMINATION

IDAIC reserves the right to terminate your access to and use of any Site in its sole discretion, without notice and without liability, including if IDAIC believes your conduct fails to conform with these Terms. IDAIC also reserves the right to investigate suspected violations of these Terms. Any violation of these Terms may be referred to law enforcement authorities.

 

LOCATION OF SITE AND TERRITORIAL RESTRICTIONS

The information provided on the Sites is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. IDAIC controls and operates the Sites from the United Kingdom. Anyone using or accessing a Site from other locations does so on their own initiative and is responsible for compliance with applicable local laws. IDAIC reserves the right to limit the availability of any Site, or any portion of a Site, to any person, geographic area or jurisdiction at any time and in its sole discretion.

 

GOVERNING LAWS; JURISDICTION; COMMENCEMENT OF ACTIONS

THESE TERMS AND THEIR INTERPRETATION WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF ENGLAND AND WALES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY CONSENT AND SUBMIT TO THE EXCLUSIVE PERSONAL JURISDICTION AND VENUE OF THE COURTS OF ENGLAND AND WALES FOR ANY LEGAL PROCEEDING ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITES. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE WITH RESPECT TO A SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION ARISES.

Nothing in these Terms shall prevent you from being governed by your local laws or bringing a claim in your local courts where permitted by the laws of your country of residence.

 

MISCELLANEOUS

The failure of IDAIC to act with respect to a breach of these Terms by you or others does not constitute a waiver and will not limit IDAIC’s rights with respect to such breach or any subsequent breaches. No waiver by IDAIC of any of these Terms will be of any effect unless made in writing and signed by a duly authorised officer of IDAIC. IDAIC may assign its rights and duties under these Terms to any party at any time without notice to you. These Terms may not be assigned by you without IDAIC’s prior written consent. If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of any remaining provisions. Section titles are inserted for convenience only and have no legal or contractual effect.

 

ENTIRE AGREEMENT AND OUR RIGHT TO UPDATE THESE TERMS

These Terms, together with any applicable Additional Terms as amended from time to time, constitute the entire agreement governing your use of the Sites and supersede any prior agreements between you and IDAIC with respect to the subject matter hereof.

IDAIC reserves the right to modify or add to these Terms at any time without prior notice (“Updated Terms”). Updated Terms will be posted on the Sites and accessible via a link on the homepage. Your continued use of a Site after Updated Terms are posted constitutes your agreement to them. You should therefore review these Terms before using any Site. Updated Terms will be effective as of the time of posting, or such later date as may be specified in the Updated Terms.
